Richard P. Weiss primarily practices in the areas of real estate, business law, and trusts and estates. Mr. Weiss has handled many complex real estate transactions, including the representation of a purchaser in the acquisition of a mixed-used complex, involving two office buildings, an apartment building, a hotel, and a parking garage, with financing provided by three different lenders, and including complex joint venture agreements among the equity owners. He has also represented owners of buildings in New York City in negotiating long-term leases with The Gap, Inc.; Bath & Body Works, LLC; Crate & Barrel; Chanel, Inc.; New York Sports Clubs; and The Mill Group, Inc. Mr. Weiss also represented the seller of a commercial condominium that commanded one of the highest prices per square foot for property ever sold in the Soho area of Manhattan.
Mr. Weiss’s trusts and estates practice includes the full range of estate planning, will drafting, trust and estate administration, and Surrogate’s Court practice. His extensive experience includes the handling of multimillion-dollar estates, including the complexities of generation-skipping transfers and post-mortem tax planning. Mr. Weiss has represented estates which have held interests in closely held businesses, farm properties, mineral interests, and a variety of other real estate and corporate structures. His representation also includes audits conducted by federal and state taxing authorities.
Mr. Weiss also provides a full range of corporate advice and services to clients, including organizing and structuring business entities (corporations, limited liability companies, partnerships, joint ventures), mergers and acquisitions work, bank and corporate financing, and preparation and negotiation of stock purchase and redemption agreements, operating agreements, shareholder and partnership agreements, technology and other licensing agreements, and distribution agreements. His experience also includes acquisitions and sales development and construction financing.
Between 1979 and 1982, Mr. Weiss was an Assistant Corporation Counsel with the New York City Law Department, handling real estate tax and commercial litigation.
