Marvin A. Artis, Partner
Marvin A. Artis' practice includes private equity, mergers and acquisitions and corporate finance matters, including the representation of buyers and sellers in a full range of mergers and acquisitions transactions domestically and internationally. Mr. Artis has extensive experience in a broad range of industries including, healthcare, pharmaceutical, media, retail, financial services and publishing companies.
Mr. Artis has been involved in the purchase and sale of stock, assets and divisions and the issuance of securities. His experience includes a $4.5 billion acquisition in the dialysis industry and a related $500 million disposition; a $2.1 billion going private transaction in the cable industry; a strategic joint venture among several major publishing companies, and related debt and equity financing in connection with those transactions. In connection with his transactional work, Mr. Artis has addressed a range of regulatory issues that arise in the healthcare industry. He also represents private equity and venture capital firms, as well as U.S. issuers in investment transactions involving common and preferred stock, convertible securities, debt, warrants and options in excess of $100 million, including a $130 million PIPE transaction and related rights offering. He regularly counsels portfolio companies of private equity firms on matters of both business and legal importance.
Mr. Artis also has significant international experience which includes the €1.725 billion sale of a portfolio company of a German private equity fund to an Australian-based buyer; a $1.2 billion tender offer involving a French pharmaceutical company and a U.S. pharmaceutical company; several transactions in connection with privatizations, securities offerings and acquisitions on behalf of the government of South Africa, public and private-held South African corporations, and companies based in Malaysia, Italy and Germany.
