Elaine M. Taussig, Counsel
Elaine M. Taussig counsels clients on a broad range of corporate, securities and transactional matters. She has experience representing clients in a wide range of industries including the energy, technology, manufacturing, retail and financial services industries and her clients have included both public and privately-held companies as well as hedge funds and private equity firms.
Ms. Taussig advises officers, directors and companies regarding a variety of general corporate, contractual and business law issues, including corporate governance, employment and officer and director liability matters.
Ms. Taussig counsels issuers, insiders and significant stockholders regarding compliance with reporting obligations under federal securities laws and disclosure matters, as well as compliance with exchange requirements and on director independence and corporate governance matters. She has represented clients in connection with public equity and debt offerings, both initial and secondary offerings as well as in connection with rights offerings and offerings of trust preferred securities. She has represented issuers in private equity and debt issuances.
Ms. Taussig has represented both purchasers and sellers in stock and asset purchase and sale transactions and in mergers.
Ms. Taussig graduated in 1993 from Northwestern University School of Law, where she served as the Book Review Editor. She received her B.A. in Political Science and Women's Studies, cum laude, from Barnard College of Columbia University in 1987.
